PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE SCOREBOX MOBILE APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE APPLICATION.


1. PARTIES AND SCOPE

1.1 Agreement

These Terms of Service (these "Terms") constitute a binding legal agreement between you, the individual accessing or using the Application ("You" or "User"), and Scorebox LLC, a Colorado limited liability company ("Scorebox," "Company," "we," "us," or "our").

1.2 Scope

These Terms govern Your access to and use of the Scorebox mobile application, including all associated features, functionality, content, and services made available through the application (collectively, the "Application" or "App").

1.3 Additional Terms

Certain features of the Application may be subject to additional terms, guidelines, or policies, which shall be presented to You in connection with such features. Such additional terms are hereby incorporated into these Terms by reference.

1.4 Nature of the Platform

Scorebox is a skill-based competitive platform for real-world social sports. Event outcomes are determined exclusively by player performance; no element of chance is present in the determination of winners, ratings, or prize distributions. Entry fees and prize pools offered in connection with Events constitute skill-based contest consideration and prizes and do not constitute gambling, wagering, lotteries, sweepstakes of chance, or real-money gaming within the meaning of applicable law. Apple Inc. is not a sponsor of, and is not otherwise involved in, any Event facilitated through the Application.


2. ELIGIBILITY

2.1 Age Requirements

(a) You must be at least thirteen (13) years of age to create an account and access the Application. Users under the age of thirteen (13) are strictly prohibited from using the Application.

(b) You must be at least eighteen (18) years of age to: (i) register for paid Events; (ii) initiate or receive payments; (iii) claim or manage Venues; or (iv) engage in any financial transaction through the Application. For purposes of this Section 2.1(b), "payments" and "financial transactions" refer to platform-mediated transactions processed through the Application (including registration fees paid to Scorebox's escrow and Stripe Connect payouts released to Commissioners). Distribution of prizes among Event participants is arranged and executed by Users off-platform and is not a Scorebox-mediated transaction; Scorebox is not involved in, and has no responsibility for, such distributions.

2.2 Representations

By creating an account, You represent and warrant that: (a) You meet the applicable age requirements set forth herein; (b) all information You provide is accurate, current, and complete; (c) You will maintain and promptly update such information; and (d) You have the legal capacity to enter into these Terms.

2.3 Minors at Venues

Many Venues listed on the Application are bars, restaurants, or other establishments that may serve alcohol or impose age restrictions independent of Scorebox. Users under the age of twenty-one (21) are solely responsible for complying with all Venue age policies and applicable local laws regarding presence at such premises. Users under the age of eighteen (18) should not attend a Venue without a parent or legal guardian. Scorebox does not verify, enforce, or otherwise control Venue age policies and shall not be liable for any consequence arising from Your presence at any Venue.


3. DEFINITIONS

As used in these Terms, the following capitalized terms shall have the meanings set forth below:

"Captain" means the Squad member designated with authority to manage the Squad roster.

"Commissioner" means the individual designated as the primary official governing an Event.

"Event" means an organized competitive gathering facilitated through the Application, including Seasons, Tournaments, and Backyard Tournaments.

"Game" means a single, discrete unit of play (e.g., one game of 8-ball, one game of pickleball).

"Match" means a collection of one or more Games played in a single session between opposing Teams.

"Integrity Flag" means a formal concern submitted by a registered Squad Captain regarding the overall fairness, conduct, or legitimacy of a paid Event, distinct from a Red Flag, which challenges a specific Match result.

"Red Flag" means a formal single-escalation challenge of Match results submitted by the non-submitting party through the Application's score verification mechanism.

"Squad" means the full roster of players registered together as a unit for an Event.

"Station" means the physical space and equipment utilized for play (e.g., a pool table, court, or cornhole set).

"Team" means the specific player or players actively competing in a Game.

"The Pass" means the digital credential evidencing a User's active occupancy of a Station.

"Venue" means a physical location with one or more Stations managed through the Application.


4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To access certain features of the Application, You must register for an account by providing accurate and complete information as prompted by the registration process. Each individual may maintain only one (1) account. The creation of multiple accounts by a single individual for any purpose, including but not limited to the manipulation of statistics, ratings, or rankings (commonly referred to as "smurfing"), is expressly prohibited.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of Your account credentials and for all activities that occur under Your account. You agree to immediately notify Scorebox at support@scoreboxapp.com upon becoming aware of any unauthorized use of Your account or any other breach of security.

4.3 Public Profile

Your profile — including Your display name, gamertag, avatar, and aggregated statistics — is publicly visible to all authenticated Users of the Application. The Application does not support private profile modes. By creating an account, You acknowledge and consent to the public display of Your profile information.


5. LICENSE GRANT AND RESTRICTIONS

5.1 Limited License

Subject to Your compliance with these Terms, Scorebox hereby grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Application on a mobile device that You own or control, solely for Your personal, non-commercial purposes.

5.2 Restrictions

You shall not, and shall not permit any third party to: (a) copy, modify, adapt, translate, or create derivative works of the Application or any portion thereof; (b) reverse-engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Application; (c) distribute, sublicense, lease, rent, loan, or otherwise transfer the Application to any third party; (d) remove, alter, or obscure any proprietary notices, labels, or marks on the Application; (e) use any automated system, including without limitation robots, spiders, scrapers, or offline readers, to access the Application; or (f) use the Application for any unlawful purpose or in violation of any applicable law or regulation.

5.3 Reservation of Rights

All rights not expressly granted herein are reserved by Scorebox. These Terms do not convey any ownership interest in or to the Application, but only a limited right of use revocable in accordance with these Terms.


6. USER CONDUCT

6.1 General Standards

You agree to use the Application in a manner consistent with all applicable laws, regulations, and these Terms. You shall not use the Application to engage in conduct that is fraudulent, abusive, defamatory, threatening, harmful, or otherwise objectionable.

6.2 Prohibited Activities

Without limiting the generality of the foregoing, You shall not: (a) submit false, fabricated, or manipulated Match results; (b) collude with other Users to artificially influence Match outcomes, ratings, or statistics; (c) abuse, circumvent, or exploit the dispute resolution system (Red Flag process) in bad faith; (d) harass, intimidate, or threaten other Users through messaging or any other feature of the Application; (e) impersonate any other User, Commissioner, Venue owner, or Scorebox representative; (f) interfere with Station management, including waitlists, session timers, or occupancy systems; (g) use the Application to facilitate unlawful gambling or wagering; or (h) attempt to gain unauthorized access to other Users' accounts, Scorebox systems, or any networks connected to the Application.

6.3 Enforcement

Scorebox reserves the right, in its sole discretion, to investigate any suspected violations of these Terms and to take appropriate action, including without limitation issuing warnings, suspending or terminating accounts, removing content, and reporting conduct to law enforcement authorities.


7. MATCH INTEGRITY AND SCORE VERIFICATION

7.1 Score Verification Model

The Application operates under a single-escalation score verification model. Upon submission by one party, Match results are immediately recorded. The submitting party is automatically verified. The opposing party has twenty-four (24) hours to either accept the submitted scores or submit a Red Flag.

7.2 Red Flag Process

(a) Verification Window. The non-submitting party shall have twenty-four (24) hours from the time of Match submission to review the results and, if applicable, either (i) accept the submitted scores or (ii) submit a Red Flag with an alternative version of the scores.

(b) Single Escalation. A Red Flag constitutes a final challenge. There is no counter-dispute mechanism — upon submission of a Red Flag, the dispute is immediately escalated for resolution as set forth in subsections (d) and (e) below. The submitting party does not receive a second response window.

(c) Submitter Edit. Prior to the expiration of the verification window and prior to any Red Flag being submitted, the original submitting party may revise the submitted scores. All parties shall be notified of any revision and the twenty-four (24) hour window shall reset.

(d) Automatic Resolution. In the event that the opposing party fails to respond within the applicable twenty-four (24) hour window, the most recently submitted version of the Match results shall be deemed accepted and shall become final (an "Auto-Lock").

(e) Red Flag — Event Play. Upon submission of a Red Flag in Event play, the Match shall be placed Under Review and may thereafter be resolved solely by the Commissioner of the applicable Event, who shall review both versions of the submitted scores and make a final determination.

(f) Red Flag — Casual Play. Upon submission of a Red Flag in casual (non-Event) play, the Match record shall be voided immediately.

7.3 Commissioner Authority

In Event play, the Commissioner shall have final authority with respect to Match results, Red Flag resolution, and participant conduct within their Event. Decisions made by a Commissioner in good faith and in accordance with these Terms shall be binding on all parties.

7.4 Finality of Results

Once a Match result has been finalized — whether by mutual verification, Auto-Lock, or Commissioner determination — such result shall be deemed final and binding. Statistics, ratings, and rankings shall be updated accordingly and shall not be subject to further dispute through the Application.


8. EVENTS AND COMPETITIONS

8.1 Nature of Events

Events are organized and managed by Commissioners, who are independent Users of the Application. Scorebox provides the platform and tools for Event management but is not the organizer, host, or sponsor of any Event. Scorebox does not guarantee the quality, safety, legality, or completion of any Event.

8.2 Registration

Registration for an Event constitutes a binding commitment to participate, subject to the applicable Event rules and these Terms. Paid registration fees are collected at the time of registration and are subject to the refund provisions set forth in Section 9.

8.3 Roster Management

Squad rosters shall be managed by the designated Captain, subject to the Commissioner's policies and any applicable roster lock periods. Roster changes are governed by the Event's rules as established by the Commissioner.

8.4 Event Integrity

Scorebox employs an Event Integrity Protocol to verify the proper conduct and completion of Events. Events that fail integrity verification may be subject to the remedies described in Section 9.5. Registered Squad Captains may submit an Integrity Flag against a paid Event at any time prior to final payout. A Captain may withdraw their Integrity Flag at any time. If Integrity Flags are submitted by Captains from two (2) or more distinct Squads, the Event shall be placed under probationary review, which may include a temporary hold on escrowed funds pending Scorebox's determination.

8.5 Venue Authorization

(a) Claimed Venues. Venues that have been claimed and verified by a Venue owner require commissioner authorization before an Event may be published at that Venue. The Venue owner maintains a list of approved commissioners who are authorized to host Events at the Venue. If You are not an approved commissioner for a claimed Venue, You will be unable to publish an Event at that Venue until the Venue owner grants approval.

(b) Unclaimed Venues. Venues that have not been claimed by any Venue owner do not require commissioner authorization. Any Commissioner may publish an Event at an unclaimed Venue.

(c) Station Allocations. When an approved Commissioner publishes an Event at a claimed Venue, the Application automatically allocates Stations for each scheduled outing of the Event. These allocations reserve Stations at no cost to the Commissioner and block conflicting paid reservations during the allocated time periods. Allocations cannot displace existing paid reservations. Venue owners grant this allocation privilege by adding a Commissioner to their approved list.

8.6 Post-Cancellation Grievance Window

(a) Scope. Where a Commissioner voluntarily cancels a paid Event after the Event has achieved Legitimacy under the Event Integrity Protocol (Phase A complete), such cancellation shall be subject to a seven (7) calendar day grievance window commencing at the time of cancellation. This Section 8.6 does not apply to cancellations that occur prior to Legitimacy.

(b) Eligibility to File. Only the registered Squad Captain of each Squad that was registered in the cancelled Event may file a Post-Cancellation Grievance. Each Squad may file at most one (1) grievance per cancelled Event.

(c) Commissioner Rebuttal. The Commissioner of the cancelled Event may submit a single written rebuttal statement during the grievance window. The rebuttal, together with any grievances filed, shall be made available to Scorebox for purposes of the review described in subsection (d).

(d) Escalation and Review. If Captains from two (2) or more distinct Squads file Post-Cancellation Grievances during the grievance window, the matter shall be escalated for administrative review by Scorebox. Scorebox shall evaluate the grievances and any Commissioner rebuttal and issue one of the following determinations: (i) Dismissed, in which case no action is taken and the grievances are not made public; or (ii) Upheld, in which case the Commissioner shall be placed on Hosting Probation for a period of one (1) year, during which the Commissioner shall be prohibited from publishing new Events on the Application. The Hosting Probation status and its expiration date shall be displayed publicly on the Commissioner's profile for the duration of the probation period.

(e) Withdrawn and Sub-Threshold Grievances. A Captain may withdraw a filed grievance at any time during the window. If fewer than two (2) distinct Squads have filed grievances at the expiration of the window, no review shall be triggered, no determination shall be issued, and no public record shall be created.

(f) Financial Neutrality. The grievance process described in this Section 8.6 is reputational in nature and shall not affect registration fees, Hosting Fees, or any other amounts that have been released or retained pursuant to Section 9 or the Event Integrity Protocol. Scorebox shall not be obligated to claw back, refund, or redistribute funds as a result of any grievance or determination under this Section 8.6.

(g) Sole Discretion. Determinations made by Scorebox under this Section 8.6 are made in Scorebox's sole discretion and shall be final and binding.


9. PAYMENTS, FEES, AND REFUNDS

9.1 Third-Party Payment Processing

All financial transactions conducted through the Application are processed by Stripe, Inc. ("Stripe"). By initiating a payment, You agree to be bound by Stripe's applicable terms of service and privacy policy. Scorebox does not collect, store, or have access to Your payment card information. Payment methods, including Apple Pay and credit/debit cards, are presented and processed entirely through Stripe's payment infrastructure.

9.2 Hosting Fees

Commissioners are required to pay a hosting fee to publish an Event on the Application. The hosting fee amount is determined by Scorebox and is non-negotiable, except as modified by a valid promotional code (see Section 9.6), referral code, or referral credit (see Section 9.7). Payment of the hosting fee is a prerequisite to Event publication; the Event will not be visible to or accessible by other Users until the hosting fee has been paid or waived.

9.3 Registration Fees

Event registration fees are established by the Commissioner at their sole discretion. The applicable fee amount is determined server-side and presented to You for confirmation prior to payment. Scorebox does not impose any additional surcharge or markup on registration fees. Standard third-party payment processing fees (charged by Stripe) apply.

9.4 Escrow

Registration fees collected through the Application are held by Scorebox in an escrow capacity within Scorebox's Stripe platform account pending Event completion and successful verification under the Event Integrity Protocol.

9.5 Refunds

(a) Hosting Fee — Voluntary Cancellation Before Commitment. In the event that a Commissioner voluntarily cancels an Event before the Event has reached the Commitment Gate, the Commissioner shall receive a ninety percent (90%) refund of the Hosting Fee. The remaining ten percent (10%) shall be retained by Scorebox as a cancellation fee. The "Commitment Gate" is the moment that registered Squads first reach or exceed the Event's stated minSquads (minimum-squads) threshold. The Commitment Gate is sticky: once triggered, subsequent Squad withdrawals do not reset it, and the Hosting Fee remains non-refundable on voluntary cancellation. After the Commitment Gate, no Hosting Fee refund is available for voluntary cancellation. The Hosting Fee was paid to Scorebox as platform revenue at the time of Event publication and is never refunded post-Commitment.

(b) Registration Fees — Cancellation Before Legitimacy. In the event that a Commissioner cancels an Event before the Event has achieved Legitimacy under the Event Integrity Protocol (Phase A complete), all registration fees shall be refunded to registered participants in full. Post-Legitimacy cancellations are not subject to registration fee refunds; registration fees held in escrow shall be released to the Commissioner in accordance with the Event Integrity Protocol, subject to the reputational review described in Section 8.6.

(c) Integrity Failure. In the event that an Event fails the Event Integrity Protocol, ninety percent (90%) of collected registration fees shall be refunded to participants. The remaining ten percent (10%) shall be retained by Scorebox as an administrative and processing fee.

(d) Voluntary Withdrawal. Refund eligibility for voluntary withdrawal from an Event is determined by the Commissioner's published Event policies and the Application's withdrawal flow. Scorebox does not guarantee refunds for voluntary withdrawal and shall not be liable for any Commissioner's refund decisions.

(e) Independence of Gates. The Commitment Gate (Section 9.5(a)) and the Legitimacy Gate (Section 9.5(b)) operate independently. Hosting Fee refund eligibility is determined solely by the Commitment Gate; Registration Fee refund eligibility is determined solely by the Legitimacy Gate. An Event may, at the time of voluntary cancellation, fall on either side of either gate.

9.6 Promotional Codes

Scorebox may, at its sole discretion, issue promotional codes that reduce or waive applicable fees (including hosting fees). Promotional codes: (a) are issued, managed, and revoked exclusively by Scorebox; (b) may be subject to usage limits, expiration dates, and other conditions specified at the time of issuance; (c) may not be sold, transferred, or exchanged; (d) have no cash value and cannot be redeemed for currency; and (e) are void where prohibited by law. Scorebox reserves the right to deactivate any promotional code at any time without prior notice. Abuse or fraudulent use of promotional codes may result in account suspension or termination.

9.7 Commissioner Referral Program

Scorebox operates a referral program for Commissioners. Commissioners who have published at least one Event receive a unique referral code. When a new Commissioner uses a referral code to publish their first Event, the referee receives a free Event (hosting fee waived) and the referrer earns a credit toward a future hosting fee. The first successful referral earns a credit equal to the full hosting fee; subsequent referrals earn a credit equal to fifty percent (50%) of the hosting fee. Referral credits: (a) may only be applied one at a time toward a single Event's hosting fee; (b) have no cash value and cannot be redeemed for currency; (c) may not be combined with promotional codes or other referral codes on the same Event; (d) do not expire but may be revoked in cases of abuse; and (e) are non-transferable. A referee may only use one referral code, and only on their first Event. Self-referral (using Your own code) is prohibited. Scorebox reserves the right to modify, suspend, or terminate the referral program at any time without prior notice. Abuse or fraudulent use of referral codes may result in credit forfeiture, account suspension, or termination.

9.8 Venue Reservations

Station reservation fees, where applicable, are collected at the time of booking. Reservation terms, including cancellation and refund policies, are established by the Venue owner. Scorebox facilitates the transaction but does not set reservation pricing or refund terms.


10. VENUE AND STATION MANAGEMENT

10.1 Station Claiming

Claiming an active session on a Station requires scanning the Station's physical QR code through the Application. The QR scan serves as proof of physical presence at the Station. The Application does not permit Station claims without a valid QR scan.

10.2 Waitlists and Sessions

Station sessions operate under the play style configured by the Venue owner (Winner Stays or Full Rotation). Users must comply with applicable session rules, respect waitlist order, and refrain from interfering with other Users' active sessions.

10.3 Venue Owner Responsibilities

Venue owners are solely responsible for the physical condition, safety, and maintenance of their Stations and premises. Scorebox makes no representations or warranties regarding the condition or safety of any Venue and shall not be liable for any injury, damage, loss, or claim arising from Your presence at or use of any Venue.

10.4 Venue Commissioner Management

Venue owners may designate approved commissioners who are authorized to host Events at their Venue. Approved commissioners receive complimentary Station allocations for their Events. Venue owners may add or remove commissioners at any time. Removal of a commissioner does not affect Events already published at the Venue. The Venue owner is automatically considered an approved commissioner for their own Venue.


11. RATINGS AND STATISTICS

11.1 Algorithmic Calculations

Player and Team ratings, rankings, and statistics are calculated using proprietary algorithms. Such metrics are provided for competitive matchmaking and informational purposes only and do not constitute any representation or guarantee of skill, ability, or future performance.

11.2 Adjustments and Recalibration

Scorebox reserves the right, in its sole discretion, to recalibrate, adjust, or recalculate ratings and statistics at any time and without prior notice to maintain competitive balance and statistical integrity. You acknowledge that You have no vested right to any particular rating, ranking, or statistical outcome.

11.3 Integrity Remediation

Scorebox reserves the right to adjust, void, or recalculate statistics arising from Matches determined — in Scorebox's sole discretion — to involve fraud, manipulation, collusion, or material technical error.


12. USER-GENERATED CONTENT

12.1 Ownership

You retain all ownership rights in content You create and submit to the Application, including without limitation Your gamertag, avatar, profile information, and messages (collectively, "User Content").

12.2 License to Scorebox

By submitting User Content to the Application, You hereby grant Scorebox a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, display, distribute, and otherwise exploit such User Content in connection with the operation, promotion, and improvement of the Application. This license survives termination of Your account.

12.3 Content Standards

You represent and warrant that Your User Content: (a) does not infringe, misappropriate, or otherwise violate any third party's intellectual property or other rights; (b) is not unlawful, defamatory, libelous, obscene, pornographic, threatening, harassing, or discriminatory; and (c) does not contain viruses, malware, or other harmful code.

12.4 Right of Removal

Scorebox reserves the right, but has no obligation, to monitor, review, and remove User Content at any time and for any reason, including but not limited to content that Scorebox, in its sole discretion, determines to violate these Terms.


13. PRIVACY AND DEVICE PERMISSIONS

13.1 Privacy Policy

Your use of the Application is subject to Scorebox's Privacy Policy, which is incorporated into these Terms by this reference. Please review the Privacy Policy for information regarding the collection, use, and disclosure of Your personal information.

13.2 Location Services

The Application accesses device location services solely for the purpose of verifying proximity when joining a Venue waitlist remotely or confirming physical presence at a Venue. Location data is not collected during casual play or when claiming a Station via QR scan.

13.3 Camera Access

The Application accesses the device camera solely for the purpose of scanning Station QR codes and capturing profile photographs. The camera is not accessed for any other purpose.

13.4 Push Notifications

The Application delivers push notifications to communicate time-sensitive information. Certain notifications relating to operational matters — including, without limitation, dispute alerts, roster decisions, and session updates — are delivered regardless of User notification preferences. Optional notification categories may be managed through the Application's settings. You acknowledge and accept that disabling notifications may result in missed dispute windows, and any consequences thereof (including Auto-Lock of Match results) shall be Your sole responsibility.


14. INTELLECTUAL PROPERTY

14.1 Scorebox Property

The Application and all content, features, and functionality thereof — including without limitation the software, code, design, text, graphics, logos, icons, images, audio, and the selection and arrangement thereof — are the exclusive property of Scorebox LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

14.2 Trademarks

"Scorebox," the Scorebox logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Scorebox LLC. You shall not use such marks without the prior written permission of Scorebox.

14.3 Feedback

To the extent You provide any suggestions, ideas, enhancement requests, feedback, or recommendations regarding the Application ("Feedback"), You hereby assign to Scorebox all right, title, and interest in and to such Feedback and agree that Scorebox shall be free to use, disclose, reproduce, license, and otherwise exploit such Feedback without restriction, obligation, or compensation to You.


15. THIRD-PARTY SERVICES

The Application integrates with and may contain links to third-party services, including without limitation Stripe, Inc. (payment processing), Apple Inc. (Sign In with Apple, Apple Pay), and Supabase Pty Ltd (backend infrastructure). Your use of such third-party services is governed by their respective terms of service and privacy policies. Scorebox makes no representations or warranties regarding any third-party services and shall not be liable for any acts or omissions of any third-party service provider.


16. TERM AND TERMINATION

16.1 Term

These Terms are effective upon Your first access to or use of the Application and remain in effect until terminated by either party in accordance with this Section.

16.2 Termination by You

You may terminate Your account at any time by: (a) using the account deletion functionality within the Application; or (b) contacting Scorebox at support@scoreboxapp.com with a request to delete Your account.

16.3 Termination by Scorebox

Scorebox may, in its sole discretion, suspend or terminate Your account and access to the Application at any time, with or without cause, and with or without prior notice. Without limiting the foregoing, grounds for termination include: (a) breach of these Terms; (b) fraudulent, abusive, or illegal activity; (c) stat or rating manipulation; (d) conduct harmful to other Users, Scorebox, or third parties; or (e) extended periods of inactivity as determined by Scorebox.

16.4 Effect of Termination

Upon termination: (a) Your license to use the Application shall immediately cease; (b) You shall cease all use of the Application; and (c) the following provisions shall survive termination: Sections 12.2 (License to Scorebox), 14 (Intellectual Property), 17 (Disclaimers), 18 (Limitation of Liability), 19 (Indemnification), 20 (Dispute Resolution), and 21 (Governing Law).

16.5 Data Retention

Scorebox may retain Match history, statistical records, and other data as necessary to maintain the integrity of the competitive ecosystem, comply with legal obligations, resolve disputes, and enforce these Terms, notwithstanding termination of Your account.


17. DISCLAIMERS

THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SCOREBOX HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, SCOREBOX DOES NOT WARRANT THAT: (A) THE APPLICATION WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE APPLICATION WILL BE ACCURATE OR RELIABLE; (C) ANY ERRORS IN THE APPLICATION WILL BE CORRECTED; OR (D) THE APPLICATION WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

SCOREBOX IS NOT RESPONSIBLE FOR ANY PHYSICAL INJURY, PROPERTY DAMAGE, PERSONAL DISPUTE, FINANCIAL LOSS, OR OTHER HARM ARISING FROM: (I) EVENTS, MATCHES, OR COMPETITIONS FACILITATED THROUGH THE APPLICATION; (II) YOUR PRESENCE AT OR USE OF ANY VENUE; (III) THE CONDUCT OF ANY COMMISSIONER, VENUE OWNER, OR OTHER USER; OR (IV) DECISIONS MADE IN RELIANCE ON RATINGS, STATISTICS, OR OTHER INFORMATION PROVIDED THROUGH THE APPLICATION.


18. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCOREBOX LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS (COLLECTIVELY, THE "SCOREBOX PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE APPLICATION; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE APPLICATION; (C) ANY CONTENT OBTAINED FROM THE APPLICATION; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR TRANSMISSIONS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT SCOREBOX HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE SCOREBOX PARTIES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO SCOREBOX DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF THE SCOREBOX PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.


19. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Scorebox Parties from and against any and all claims, actions, suits, proceedings, liabilities, damages, settlements, penalties, fines, costs, and expenses (including without limitation reasonable attorneys' fees and litigation costs) arising out of or relating to: (a) Your use of or access to the Application; (b) Your User Content; (c) Your violation of these Terms; (d) Your violation of any applicable law, rule, or regulation; (e) Your violation of any rights of any third party; or (f) Your role as a Commissioner or Venue owner, including any claims by Event participants or Venue visitors.


20. DISPUTE RESOLUTION AND ARBITRATION

20.1 Mandatory Arbitration

Except as set forth in Section 20.3, any dispute, claim, or controversy arising out of or relating to these Terms, the Application, or the relationship between You and Scorebox (each, a "Claim") shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator in the State of Colorado. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

20.2 Class Action and Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION; (B) YOU AND SCOREBOX EACH WAIVE THE RIGHT TO A TRIAL BY JURY; AND (C) YOU AND SCOREBOX EACH WAIVE THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

20.3 Exceptions

Notwithstanding Section 20.1: (a) either party may bring an individual action in small claims court for Claims within the jurisdictional limits of such court; and (b) either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

20.4 Opt-Out Right

You may opt out of this arbitration provision by sending written notice to support@scoreboxapp.com within thirty (30) days of first accepting these Terms. Your notice must include Your full name, Scorebox account information, and a clear statement that You wish to opt out of the arbitration provision. If You opt out, the Governing Law and jurisdiction provisions set forth in Section 21 shall apply.


21. GOVERNING LAW

These Terms and any Claim arising out of or relating to these Terms or the Application shall be governed by and construed in accordance with the laws of the State of Colorado, without giving effect to any principles of conflicts of law. To the extent that litigation is permitted under these Terms, You and Scorebox consent to the exclusive jurisdiction of the state and federal courts located in the State of Colorado.


22. GENERAL PROVISIONS

22.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between You and Scorebox with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, and agreements, whether oral or written.

22.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions.

22.3 No Waiver

The failure of Scorebox to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Scorebox.

22.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of Scorebox. Scorebox may freely assign or transfer these Terms without restriction. Any purported assignment in violation of this Section shall be null and void.

22.5 Notices

Scorebox may provide notices to You through the Application, via push notification, or by email to the address associated with Your account. You may provide notices to Scorebox by email at support@scoreboxapp.com. Notice shall be deemed given when sent.

22.6 Force Majeure

Scorebox shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including without limitation acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, power failures, Internet or telecommunications failures, or destruction of facilities.

22.7 Independent Contractors

The relationship between You and Scorebox is that of independent parties. Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between You and Scorebox.


23. MODIFICATIONS TO TERMS

Scorebox reserves the right to modify these Terms at any time in its sole discretion. If we make material changes to these Terms, we will notify You through the Application or by other means prior to the effective date of the changes. Your continued use of the Application following the effective date of any modifications constitutes Your acceptance of the modified Terms. If You do not agree to the modified Terms, You must discontinue use of the Application.
